Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Insight Agent INC ("Company," "we," "us," or "our") concerning your access to and use of the Insight Agent website (insightagent.app) and any related services, applications, or features (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Business-to-Business Service

THIS SERVICE IS PROVIDED EXCLUSIVELY FOR BUSINESS USE. The Service is intended for use by businesses, professional sellers, and commercial entities only. This is a business-to-business (B2B) service and is not subject to consumer protection laws, including but not limited to EU consumer protection regulations, distance selling regulations, or similar consumer rights laws in any jurisdiction. By using this Service, you represent and warrant that you are acting in a business capacity and not as a consumer.

Eligibility

You must meet the following requirements to use our Service:

You must be at least 18 years old (or the age of majority in your jurisdiction)
You must have the legal capacity to enter into binding contracts
You must not be prohibited from using the Service under applicable laws
You must provide accurate and complete registration information
You must maintain an active Etsy seller account to use certain features

By using the Service, you represent and warrant that you meet all of these eligibility requirements.

Account Registration and Security

Account Creation

To use certain features of the Service, you must register for an account. When creating an account:

You must provide accurate, current, and complete information
You must maintain and promptly update your account information
You are responsible for maintaining the confidentiality of your password
You are responsible for all activities that occur under your account
You must notify us immediately of any unauthorized use of your account

Account Restrictions

You may not:

Create multiple accounts to circumvent usage limits or restrictions
Share your account credentials with others
Use another person's account without permission
Transfer or sell your account to another person
Use automated tools or bots to create accounts

Subscription and Payment Terms

Subscription Plans

We offer various subscription plans with different features and pricing. By subscribing to a paid plan:

You agree to pay the subscription fees for your selected plan
Pro Plan subscriptions are billed monthly and automatically renew unless cancelled at least 24 hours before the renewal date
You authorize us to charge your payment method for recurring subscription fees
All packages are non-refundable except as explicitly stated in our Refund Policy
By accessing the Service immediately upon purchase, you acknowledge that you waive any withdrawal or cancellation rights that may otherwise apply under applicable law

Payment Processing

All payments are processed securely through third-party payment processors (Stripe, PayPal). You agree to provide valid payment information and authorize us to charge your payment method for all fees incurred.

Price Changes

We may change our subscription prices at any time. Price changes will not affect your current subscription period but will apply to subsequent renewals. We will provide at least 30 days' notice before any price increase takes effect.

Cancellation and Refunds

You may cancel your subscription at any time through your account settings. For Pro Plan monthly subscriptions, you must provide at least 24 hours' notice before the renewal date to avoid being charged for the next billing period. Cancellations take effect at the end of your current billing period.

NO REFUND POLICY: ALL PACKAGES ARE NON-REFUNDABLE

All subscription fees are non-refundable. We do not provide refunds for partial months, unused portions of the Service, or for any reason, except as follows: New customers on monthly plans may request a refund within 7 days of their first purchase. After the 7-day period, or for any subsequent purchases, all fees are final and non-refundable. For complete details, please see our Refund Policy.

Free Trial

We may offer a free trial period for certain subscription plans. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. No charges will be made during the trial period.

Acceptable Use Policy

You agree not to:

Use the Service for any illegal or unauthorized purpose
Violate any laws, regulations, or third-party rights including intellectual property rights
Access or attempt to access another user's account without permission
Interfere with or disrupt the Service or servers/networks connected to the Service
Use automated tools, bots, or scripts to access the Service (except as explicitly permitted)
Scrape, crawl, screen scrape, or harvest data from the Service without our express written permission
Reverse engineer, decompile, disassemble, or attempt to derive source code from any part of the Service
Remove, alter, or obscure any copyright, trademark, or proprietary notices
Use the Service to spam, phish, distribute malware, or send unsolicited communications
Exceed reasonable request volume or attempt to overwhelm our systems
Share your account access with unauthorized users
Use the Service in a manner that violates Etsy's Terms of Service or policies
Create or sell products that infringe on trademarks, copyrights, or other intellectual property rights
Use the Service in any way that is unlawful, harmful, or violates these Terms

You are solely responsible for verifying that your products and business practices comply with all applicable trademarks, copyrights, laws, and regulations before creating or selling any products.

Intellectual Property Rights

Our Intellectual Property

The Service, including all content, features, functionality, software, text, graphics, logos, and other materials, is owned by Insight Agent INC and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose.

Your Content

You retain all rights to any content you submit to the Service (such as shop information, listings data, or search queries). By submitting content, you grant us a worldwide, perpetual, irrevocable, non-exclusive, transferable, sublicensable, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your content in any media format and through any media channels, solely for the purpose of providing, operating, promoting, and improving the Service.

Trademark Notice

"Insight Agent" and our logo are trademarks of Insight Agent INC. Etsy is a trademark of Etsy, Inc. Redbubble is a trademark of Redbubble Ltd. We are not affiliated with, endorsed by, or sponsored by Etsy, Inc., Redbubble Ltd., or any other third-party platforms or services. All other trademarks are the property of their respective owners.

Etsy API and Data Usage

Our Service uses Etsy's API to provide data and functionality. By using our Service:

You agree to comply with Etsy's API Terms of Use and policies
You acknowledge that Etsy data is subject to Etsy's terms and conditions
You understand that we may be subject to Etsy's rate limits and restrictions
You acknowledge that Etsy may change or discontinue their API at any time
You agree not to use our Service to violate Etsy's terms or policies

We are not responsible for any changes, interruptions, or limitations to Etsy's API that may affect the Service.

Disclaimer of Warranties

THE SERVICE AND ALL DATA, CONTENT, MATERIALS, AND INFORMATION ARE PROVIDED STRICTLY "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, REPRESENTATIONS, OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INSIGHT AGENT INC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

Any warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, and accuracy
Any warranties regarding the accuracy, reliability, timeliness, completeness, quality, or availability of any data, content, or information
Any warranties that the Service will be uninterrupted, timely, secure, error-free, or free from viruses or other harmful components
Any warranties that defects or errors will be corrected
Any warranties regarding the results or outcomes obtained from use of the Service
Any warranties arising from course of dealing, course of performance, or usage of trade

THE ENTIRE RISK AS TO THE QUALITY, ACCURACY, AND PERFORMANCE OF THE SERVICE RESTS WITH YOU. We make no warranty that the Service will meet your requirements, achieve any intended results, be compatible with any other software or systems, or operate without interruption. All data and information provided through the Service is provided without any warranty of any kind.

You acknowledge and agree that any material, data, or information downloaded or otherwise obtained through the use of the Service is done entirely at your own discretion and risk, and that you will be solely responsible for any damage to your computer system, loss of data, or any other damage or loss that results from such activities.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INSIGHT AGENT INC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY DAMAGES WHATSOEVER, WHETHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES.

THIS LIMITATION OF LIABILITY APPLIES TO ALL CLAIMS AND DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO:

Loss of profits, revenue, income, business opportunities, goodwill, or anticipated savings
Loss of data, databases, or business information of any kind
Business interruption, work stoppage, lost sales, or lost customers
Cost of procurement of substitute goods, services, or technology
Personal injury, property damage, or emotional distress
Any indirect, incidental, special, consequential, punitive, or exemplary damages
Any damages arising from unauthorized access to or use of our servers and/or any information stored therein
Any damages arising from errors, mistakes, or inaccuracies in content or data
Any damages arising from interruption or cessation of the Service
Any damages arising from bugs, viruses, or other harmful code transmitted through the Service

THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, WARRANTY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT INSIGHT AGENT INC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INSIGHT AGENT INC'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE, THESE TERMS, OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100 USD).

YOU ACKNOWLEDGE AND AGREE THAT THESE LIMITATIONS OF LIABILITY ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND INSIGHT AGENT INC, AND THAT THE SERVICE WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS.

Some jurisdictions do not allow the limitation or exclusion of certain liabilities, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Insight Agent INC, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

Your use or misuse of the Service
Your violation of these Terms
Your violation of any third-party rights
Your violation of applicable laws or regulations
Any content you submit to the Service

Termination

Termination by You

You may terminate your account at any time by canceling your subscription through your account settings or by contacting us. Termination takes effect at the end of your current billing period.

Termination by Us

We reserve the right to suspend, restrict, or terminate your access to the Service immediately, without prior notice or liability, for any reason or no reason, at our sole and absolute discretion, including:

Violation of these Terms or any applicable laws
Fraudulent, illegal, or suspicious activity
Non-payment of fees or chargebacks
Inactivity for 12 consecutive months or more
At our sole discretion, with or without cause

Either party may terminate this agreement at any time, for any reason, with or without notice.

Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may, at our sole discretion, delete your account and all associated data, content, and information without any obligation to provide notice or retain backups. Accounts that have been inactive for 12 or more consecutive months may be deleted without notice. Provisions of these Terms that by their nature should survive termination (including but not limited to disclaimers, limitations of liability, and indemnification) will remain in full force and effect. No refunds will be provided for any prepaid fees upon termination.

Dispute Resolution and Arbitration

Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@insightagent.app. We will attempt to resolve the dispute informally within 60 days.

Binding Arbitration

If we cannot resolve the dispute informally, any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law. The arbitration shall be conducted in accordance with the rules of the American Arbitration Association (AAA).

Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and us individually. To the fullest extent permitted by law, you waive any right to participate in a class action lawsuit or class-wide arbitration.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Ontario, Canada, and you hereby irrevocably consent to personal jurisdiction and venue in such courts. You waive any objection to jurisdiction or venue in such courts.

Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. For significant changes, we may also send you an email notification. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

Miscellaneous

Entire Agreement

These Terms, along with our Privacy Policy, Cookie Policy, and Refund Policy, constitute the entire agreement between you and us regarding the Service, and supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign, transfer, delegate, or sublicense these Terms or any rights or obligations hereunder without our prior express written consent. Any attempted assignment in violation of this provision shall be null and void. We may freely assign, transfer, or delegate these Terms and our rights and obligations hereunder without restriction or notice to you.

Force Majeure

Insight Agent INC shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
